1. Definitions

In these terms, 'VirtuoLab' means the company VirtuoLab, established in the Netherlands. 'Client' means the natural or legal person entering into an agreement with VirtuoLab. 'Services' means all work carried out by VirtuoLab, including web development, app development, design and consultancy.

2. Applicability

These general terms and conditions apply to all offers, quotes and agreements between VirtuoLab and the client. Deviations are only valid if agreed in writing.

3. Quotes and agreements

All quotes from VirtuoLab are without obligation and valid for 30 days, unless stated otherwise. An agreement is formed upon written confirmation by both parties. VirtuoLab reserves the right to decline assignments without stating reasons.

4. Performance of the agreement

VirtuoLab performs the assignment to the best of its knowledge and ability, in accordance with the standards of good workmanship. VirtuoLab may have certain work carried out by third parties. The client is responsible for supplying the required information and materials on time.

5. Intellectual property

All intellectual property rights in the products developed by VirtuoLab rest with VirtuoLab, unless agreed otherwise in writing. Upon full payment, the client obtains a right of use to the final product. Source code is only transferred if explicitly included in the agreement.

6. Payment

Unless agreed otherwise, VirtuoLab applies a payment schedule of 40% on commissioning, 30% on delivery of the concept and 30% on final delivery. Invoices must be paid within 14 days of the invoice date.

7. Liability

VirtuoLab's liability is limited to the amount invoiced under the agreement. VirtuoLab is not liable for indirect damage, including consequential loss, lost profit or missed savings.

8. Confidentiality

Both parties are obliged to keep confidential all confidential information received in the context of the agreement. This obligation also applies after the agreement ends.

9. Governing law

All agreements between VirtuoLab and the client are governed by Dutch law. Disputes will be submitted to the competent court in the district where VirtuoLab is established.
